1. GENERAL TERMS

  1. Areatrade reserves the right to refuse to provide services and/or access to its services to anyone.
  2. All scripts, codes, admin panels provided to clients by Arearade is the property of Areatrade are not to be reused or copied by anyone unless permission is granted by Areatrade.
  3. All design work provided to the client by Areatrade is the property of Areatrade until all accounts are settled, once accounts are settled they become the intellectual property of the client.
  4. We reserve the right to charge an hourly rate with a minimum of 3 hours including travelling, if an onsite visit has taken place and a cancellation fee for administration approximately £45 to any client who cancels there “Provisional Appointment” without giving 2 days notice.
  5. Any notices given by post are deemed to be delivered at noon the next day after posting. We will record some telephone call for the purpose of accuracy, training and prevention of fraud.
  6. Areatrade understands and will exercise our statuary right to interest under the late payment of commercial debts (Interest) Act 1998 if we are not paid to our agreed credit terms.
  7. Email will be the method of contact with regard to all communication. Although Areatrade can be contacted by
    telephone, we will use email as our method of communication and therefore it is the Client's responsibility to inform us of any change in email address so we always have up to date email
    contact details. Areatrade can not be held liable in any way relating to communication issues if we are not supplied a valid email address. Areatrade will try and acknowledge all emails within 10 working days.
  8. Areatrade will only commence work on a Website Project after receipt of a non refundable, 33.3% deposit of the quoted Project fee from the Client. Areatrade will also require 33.3% payment on approval of the overall design concept. The final balance is to be made on completion of the website. The website will be switched to Live Mode once the Clients remaining balance is paid in full. For all Print Projects we require a non refundable, 50% deposit of the quoted Project fee from the Client. The final balance is to be made when the Print Project is ready to be dispatched to client.
  9. It is important for the Client to keep in contact with Areatrade throughout the entire Project. If a Client does not make contact for 1 week we will make up to 5 attempts to contact the client by email using the email address specified when the client went ahead. If we do not receive a response to these attempts of contact the Project may be terminated, and the deposit will not
    be refunded.
  10. Areatrade will provide the Client with an expected completion date for the Project (live on the internet) if requested. Areatrade will endeavour to meet any given deadline, but do not guarantee
    and are not bound in any way to complete the Project by this date. The expected completion date provided by any employee of Areatrade is purely an estimate.
  11. Because we operate an automated renewal system we will automatically renew your monthly / yearly service for you. You will continue to receive an invoice for the service as normal. If you wish to cancel this service you must inform in us writing 90 days prior to the renewal date. If no written notice is received within this time you will be bound by a further contract period which is stated on the invoice.

2. TERMS OF WEB HOSTING:

  1. Areatrade provides Web Hosting. The hosting services provided by Areatrade vary greatly depending on the level of service you have chosen. For a clear breakdown of all our hosting packages please visit our website.
  2. All website hosting packages are contracted for a minimum of 1 year, after which you may elect to discontinue this by providing written notice to Areatrade 90 working days before the end of that 12 calender month. If no written notice is received within this time you will be bound by a further 12 month contract.
  3. If you wish to cancel your hosting before your expiry date it must be submitted in writing. You will remain liable for any outstanding hosting amounts stated in your contract.
  4. Please ensure all cancellations are sent by registered post as we cannot be held responsible by requests that are lost in post. We do not accept emails or telephone cancellations.
  5. The updateable admin panel and scripts provided with bespoke and free website designs are part of the hosting package and cannot be transferred to other servers. The level of features in admin depends on what hosting package is provided. Scripts can be run on Areatrades server and pointed at 3rd party servers for an agreed monthly amount if required. This admin panel cannot be copied / replicated by 3rd parties without prior permission of Areatrade.
  6. Password and usernames must not be distributed to anyone other than the account holder.
  7. Server access is permitted to the account holder and no 3rd party should access them to update or download files unless permission is granted by Areatrade.
  8. We do not accept any liability for down time of the server.
  9. Upon agreement of payment by standing order/ direct debit your business is liable for all payment until and unless the “Hosting Fee” is paid in full. No payments are refundable. A late payment charge of £15.00 + vat per late missed direct debit or
    standing order instalment will be charged.
  10. It is your responsibility to cancel any standing order payments paid to us by you bank. Failure will constitute an admin fee of £15.00 + vat for us to process any overpayment funds.
  11. An admin fee of £15 per bounce direct debit will be added to each outstanding direct debit. After three consecutive bounced direct debits your website will be terminated and we will pursue legal action to collect the outstanding balances, including the full term contract of your hosting.

3. DOMAIN REGISTRATION & TRANSFERS

  1. Areatrade will transfer your domain only when all outstanding invoices and transfer fees have been paid.
  2. Areatrade purchase/ transfer domain names on the customers behalf. Domain ownership is registered in Areatrades or the customers name depending on customer preference.
  3. Areatrade is not responsible if the DNS, MX record is changed which results in lost of website or email.
  4. Areatrade is not responsible if during transferring the domain there is a period of downtime or emails are lost. It is the clients responsibility to download all emails before they give Areatrade the transfer request.
  5. Areatrade are not responsible if a domain name is purchased by a 3rd party if the domain expires and is not renewed.

4. AREATRADE WILL NOT HOST THE FOLLOWING CONTENT

  1. Illegal Material – this includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Federal, State or Local regulation.
  2. Adult Material – includes all pornography, erotic images or otherwise lewd or obscene content. The designation of “adult material” is left entirely to the discretion of Areatrade.
  3. Warez – includes pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc, and encrypting of any of the above. Also includes any sites which provide “links to” or “how to” information about such material.
  4. If any of the above material appears on the Customer’s web page Areatrade reserves the right to remove it from such web page(s) without prior notice.
  5. Areatrade reserves the right to cancel the Customer’s account at any time without notice.
  6. Areatrade reserves the right to change prices at any time without notice.
  7. Areatrade reserves the right to amend and update these terms and conditions at any time without notice.
  8. By signing your standing order agreement, the Customer indicates acceptance of these terms and conditions.
  9. When your account is closed, all files (including web pages, etc.) will be deleted from our web server. If you require a copy of your site on disk you must request this from Areatrade in writing 10 days before your account is closed. Once your account is offline Areatrade can only supply a disk containing the website structure, Any database of images & information uploaded by the customer will be lost.
  10. Updateable Template websites can not be moved to any hosting company other than Areatrade. Areatrade can supply the Data from one of these sites to be transferred but can not supply the website software.
  11. Users must not participate in any form of un-solicited bulk e-mailing or spam. The email marketing software supplied by Areatrade is for use to your subscribing customers only.
  12. Cheque payments must be sent along with the following information: A copy of the invoice with your cheque payment and the domain name and invoice number written on the back of your cheque.
  13. Services can be activated when we receive payment and it has been cleared through our bank.
  14. When paying by TT please ensure you list the invoice number on the bank instructions so we can identify the payment.
  15. Providing your bank details for the direct debit agreement, the Customer indicates acceptance of these terms and conditions.

5. GENERAL USE POLICY

  1. The Customer may not store more data in it’s account than it’s allotted virtual server space. More space can be requested.
  2. The Customer is responsible for the content of it’s web pages, including obtaining the legal permission for any information included to ensure that the contents are compatible with UK law and are not copywrited.
  3. The Customer will be held responsible for and will accept responsibility for any defamatory, confidential, secret and other proprietary material available via it’s web page(s).
  4. Please do not divulge your account password to any other
    person, and take precautions so that it is not found by anyone.

6. EXCLUSION OF LIABILITY

  1. Areatrade shall not be held responsible for any loss or damages caused by the use, misuse, unavailability or removal of services.
  2. Areatrade shall not be responsible for unsolicited bulk e-mail or spam e-mail being sent to the Customer. Anti Spam software is available with certain hosting packages - if available client is responsible for activating this.
  3. Data stored on our servers for updateable websites is not guaranteed to be backed up. It is recommended that you keep an independent backup of important data

7. TRAFFIC MANAGEMENT - SEARCH ENGINE OPTIMISATION

  1. Areatrade produce a list of keywords relating to your company showing the keywords that are being searched for the previous month. This information is provided by the Google Keyword Tool. These results are from the previous month and are a guide only as each month has varying searches made. We cannot guarantee these keywords will continue to be relevant.
  2. Areatrade optimise pages of websites towards chosen keywords and then submit your website to the major search engines.
  3. Areatrade can not guarantee that your website will be included in the search engines database, as this is at the discression of each search engine.
  4. Areatrade will create a search engine position report for your website under your chosen keywords and upload this report for you to see it online.
  5. Areatrade analyse the search engine position report, and the website log statistics, to further optimise the website for improved search engine position.
  6. Areatrade will provide search engine proposals for further work that we recommend to try and enhance your positions.
  7. Areatrade will not guarantee top positions or be held responsible for if we do not acheive 1st page positions.

8. SEARCH ENGINE PPC (pay-per-click) ADVERTISING MANAGEMENT SERVICE.

  1. Areatrade can manage your PPC advertising on “Google”, “The Overture Group” (which includes: Yahoo!, AOL UK, Wanadoo, Altavista, Ask Jeeves, Tiscali and MSN UK.
  2. The minimum monthly budget for PPC is £20 on Overture, MSN and Google, with a monthly administrative & handling fee for Areatrade to setup and maintain your advertising accounts.
  3. Areatrade bid on keywords in order to maximise the number of targeted visitors to your website with the budget provided.
  4. Areatrade optimise your listings and website to meet more closely the requirements of each search engine although inclusion of your listing is not guaranteed as it is within the sole discretion of each search engine.
  5. Areatrade will amend any titles and descriptive text supplied, to fit each search engines requirements.
  6. The appearance of your advert depends on your budget and which search engine.
  7. Google calculates daily recommended cost for showing your advert 100% of the time, based on ad exposure, position and bid value. If Google recommend £1.30 per day, and you only want to spend £0.65 per day, your adverts will be shown approximately 50% of the time keeping you to your set budget.
  8. OVERTURE & MSN: If your monthly budget is reached before the end of the month then your listings will be suspended for the remainder of the month, until a new month starts and your monthly budget is replenished.
  9. Areatrade reserves the right to terminate your PPC service therein at any time.
  10. You are contracted to continue payments on your PPC service for a minimum of 6 months, after which you may elect to discontinue this by providing written notice to Areatrade 30 working days.
  11. Areatrade is not responsible to inform you when your account is online or offline.

9. FREE WEBSITE DESIGN SERVICE

  1. Areatrade will provide a free website design and build service when the client takes out a 12 month hosting contract.
  2. Areatrade will include a FREE Website Design banner to every free website package linking to Areatrade’s website.
  3. This FREE website design banner is not to be removed under any circumstance unless permission is given by Areatrade, there is an additional charge for removal.
  4. These websites are designed and built at the same time, you cannot make changes to the template once the website is live,without occurring extra charges. Areatrade allow 1 set of amendments to design once the website has been built.
  5. If no website text has been supplied by the client Areatrade will use Lorem Ipsum which is similar in appearance to Latin. This is a fabricated language used only to give the appearance of how website text would look if added. It is the sole the responsibilty of the client to amend the website text themselves via the online page content system.

10.SERVICE LEVEL AGREEMENTS

  1. Areatrade can offer a set number of FREE changes to the clients website within a yearly period for a monthly fee. Website changes do not roll over to the following year. The client is tied into this yearly contract for the first year and subsequent years
    where changes are made on clients request. If client wishes to remove the maintenance aspect from their hosting package within a year where changes have been made then the full cost of these changes based at our standard hourly rate will apply.
  2. Areatrade will endeavour to ensure changes are done within 10 working days from request, although please note that changes are dealt with on a first come first serve basis, we will not be held responsible if changes are not done within set timescales.
  3. The FREE changes can be used for making amendments per page, remote access login to help set up email accounts and technical support. If all FREE changes have been used within the year are our standard minimum 1 hour charge applies per change, remote access or technical suport call.
  4. A Page Content Editor system can be included as part of the hosting for an extra monthly charge. Areatrade will not be held responsible if changes clients make do not work or have an adverse affect on the clients website. If Areatrade are asked to
    fix such problems these will use up your FREE changes. If all changes are used then client will be charged on an hourly basis.
  5. Areatrade reserves the right to terminate your service contracts at any time if you breach your contract see section 2.10, 2.11 & 2.12 for conditions.

11. TERMS OF WEBSITE DESIGN

  1. Once Areatrade has received full payment of all outstanding invoices and the Work has been approved, the Client will be granted a licence to use the Website and its contents. Areatrade may use part of all of the program scripts in future projects for other clients.
  2. If payment has not been received by the due date, Areatrade has the right to suspend ongoing work for Client, until such time that full payment of the outstanding balance has been received.  If full payment has still not been received 21 days after the due date, Areatrade has the right to replace, modify or remove the Website and revoke the Client's licence of the Work until full payment has been received.  By revoking the Client's licence of the Work or removing the web site from the Internet, Areatrade does not removethe Client's obligation to pay any outstanding monies owing.

12. AREATRADE ADMIN PANELS

  1. The clients admin area is the property of Areatrade and will not be given to any client under any circumstance unless a license is issued at time of installation. If the client wishes to leave Areatrade a static version of the website design can be given to the client for a one off fee, this will not include any dynamic features that the admin would normally provide, ie. gallery or off the shelf databases solutions. The admin includes; page content manager, updateable gallery, news manager, media manager, admin interface, recruitment manager, property manager (estate agent packages), car manager, shopping cart, site map module, audio manager, form generator and any other modules, plug-ins or interfaces that are included in any clients admin area that we provide.

13. RESELLERS

  1. All resellers must provide Areatrade with 10 websites before they are registered as resellers.
  2. Resellers will receive commission from Areatrade which is given at Areatrades descretion, once first payment has been received and contract returned signed.
  3. It is the resellers responsibility to inform us of any changes regarding removal of reseller logo or acreditation logo's if your business relationship with their client ceases. We do not accept any liability from your company or any legal authorities should any accreditation mark or logo be deemed unauthorised.2. 4. Clients admin interfaces will be designed in the resellers graphics. logo and branding, this does not mean that the reseller owns the interface, this remains the property of Areatrade.

14. CONTENT

  1. All content added by Areatrade in any form of advertising is the clients responsibility to check and approve. Once approved any mistakes will not be Areatrades responsibility.
  2. Areatrade may, from time to time, add content themselves when building customers websites if the content has not been supplied by customer. Areatrade are not responsible if any text, music, media or images are incorrect, mispelt or misrepresent the customer in any way. It is the clients resonsibility to check and approve all content.

15. EMAIL & TECHNICAL SUPPORT

  1. Areatrade do not offer support for any third party email addresses.
  2. Areatrade will supply set up instructions and remote access help on how to set up email accounts that are provided by Areatrade only.
  3. Areatrade can log on to customers computer remotely and set up the email accounts, if client has problems setting them up themselves. Areatrade will test the accounts by sending and receiving mail on clients computer to ensure the mail accounts are set up correctly. Areatrade will do this only once for each domain name, if client requires this service in the future for any reason they will be charged at our standard hourly rate with a 1 hour minimum charge.
  4. Areatrade are not responsible if clients mailbox exceeds the quota and emails start to bounce back.
  5. Areatrade do not provide technical help to customers regarding viruses, crashes, sofware and any other computer problems that arise with the customers personal computers.

16. CLIENTS INFORMATION & CANCELLATION RIGHTS

  1. If the client wishes to leave Areatrade all design files of the website and print stationery including any logo’s images and database information will be supplied on a CD. A static version of the website will be created for the client as the admin facility remains the property of Areatrade. A quote will be supplied for the collating of files from our back up and the transferring of the website to a static state. All accounts must be setttled.
  2. All domain names will be transferred for the client as long as all accounts are settled. There is a standard admin fee applies per domain name.
  3. Stated with in the Trade Description Act you have 14 days to cancel your order with Areatrade. All cancellation requests must be received in writing. We suggest you send all cancellation requests register post incase you need to provide evidence. We do not accept cancellations via email or telephone calls.
  4. All deposits paid to Areatrade Advertising Ltd are non-refundable.
